1. Legal Entity and Acceptance
This website is owned and operated by OmniServe Technologies LLC (“OmniServe Technologies,” “Company,” “we,” “us,” or “our”), located at:

By accessing this website, selecting a service tier, submitting payment, or using our services, you agree to be bound by these Terms of Service (“Terms”). If you do not agree, you must not use our services.
2. Description of Services
The Company provides structured:
- Website Development & Management Services
- IT Management Services
Services are delivered remotely under defined service tiers outlining scope, responsibilities, and coverage limitations.
The Company does not guarantee specific business outcomes, uninterrupted service, financial results, system compatibility, or immunity from security breaches.
3. Formation of Service Agreement
A binding Service Agreement is formed when a client:
- Selects a service tier,
- Submits payment, and
- Affirmatively accepts these Terms at checkout.
Each completed payment constitutes a separate agreement covering one defined monthly service period unless otherwise agreed in writing.
No separate signed document is required unless expressly agreed by both parties.
4. Service Term and Manual Renewal
Services are provided for a defined monthly billing period.
Services do not automatically renew.
Clients must manually renew services through the website to continue service for the subsequent billing period.
Failure to renew may result in suspension or termination of services without liability to the Company.
Each renewal constitutes a new Service Agreement for the next billing period.
5. Payment Terms
- Fees are due in advance of each monthly service period.
- Payments are processed through secure third-party payment processors.
- The Company does not initiate automatic recurring charges without explicit written authorization.
- Late or failed payments may result in service suspension.
Clients are responsible for all applicable taxes.
6. Cancellation
Clients may discontinue services by electing not to renew for the subsequent billing period.
Services remain active through the end of the paid service term.
No partial refunds are provided for unused portions of an active billing period.
7. Refunds
Refund eligibility is governed by the Company’s Refund & Cancellation Policy, incorporated herein by reference.
8. Acceptable Use
Clients agree not to use services for:
- Illegal or fraudulent activity
- Malware distribution or malicious interference
- Copyright or intellectual property infringement
- Spam or unsolicited bulk communications
- Any activity prohibited under applicable law
The Company reserves the right to suspend or terminate services for violations.
9. Third-Party Services
Services may rely on third-party providers including hosting, infrastructure, and security vendors. The Company is not responsible for interruptions, outages, or failures caused by third-party providers beyond its reasonable control.
10. Disclaimer of Warranties
Services are provided “as is” and “as available.”
The Company disclaims all warranties, express or implied, including merchantability, fitness for a particular purpose, uninterrupted service, and non-infringement.
11. Limitation of Liability
To the fullest extent permitted by law:
The Company shall not be liable for indirect, incidental, consequential, special, or punitive damages.
Total liability shall not exceed the total fees paid by the client in the three (3) months preceding the claim.
12. Force Majeure
The Company shall not be liable for delays or failure to perform due to events beyond its reasonable control, including but not limited to natural disasters, cyberattacks, governmental actions, infrastructure failures, or third-party service disruptions.
13. Governing Law
These Terms are governed by the laws of the State of Georgia, United States.
Any disputes shall be resolved exclusively in courts located within the State of Georgia.
14. Modifications
The Company reserves the right to modify these Terms at any time. Continued use of services after updates constitutes acceptance of the revised Terms.
